These Terms of Use ("Terms") are a legal agreement between you ("you" or "User") and Natum AI, Inc., a Delaware corporation ("Natum," "we," "us," or "our"). They govern your access to and use of the website at natum.ai, including any related subdomains, pages, and content (the "Website").
By using the Website, you agree to these Terms and our Privacy Policy. If you don't agree, please don't use the Website.
These Terms cover the Website only. If you're a financial institution using the Natum platform, your use is governed by a separate subscription agreement.
Note: Section 15 contains an agreement to resolve most disputes through binding arbitration on an individual basis rather than in court. Please read it carefully.
Natum AI, Inc. builds a lending intelligence platform for community banks and credit unions. We help financial institutions identify lending opportunities, streamline underwriting workflows, and monitor portfolio risk.
To be clear about what we are and aren't: Natum is a technology company. We are not a bank, credit union, broker-dealer, investment adviser, or licensed lending entity. We don't originate, fund, or service loans. All lending decisions are made solely by the financial institution using our platform.
The Website is intended for individuals who are at least 18 years old and can enter into binding agreements. If you're using the Website on behalf of an organization, you confirm that you have the authority to bind that organization to these Terms.
We ask that you use the Website responsibly. Specifically, please don't:
• Interfere with or disrupt the Website's functionality;
• Attempt to gain unauthorized access to any part of the Website, other accounts, or connected systems;
• Use bots, scrapers, or other automated tools to access the Website without our written consent;
• Introduce malicious code (viruses, worms, etc.);
• Reverse engineer, decompile, or attempt to extract the source code or algorithms behind the Website;
• Remove or alter any copyright, trademark, or proprietary notices;
• Send spam or unauthorized promotional materials through the Website;
• Impersonate Natum, a Natum employee, or anyone else; or
• Use the Website for anything unlawful.
Some features — like requesting a demo or downloading content — may ask you to provide information such as your name, email, company name, and job title. Please keep this information accurate and up to date.
If you create an account, you're responsible for keeping your login credentials secure and for everything that happens under your account. If you suspect unauthorized access, please let us know right away at security@natum.ai.
Everything on the Website — text, graphics, logos, icons, images, code, and the way it's all arranged — belongs to Natum AI, Inc. (or our licensors) and is protected by U.S. and international intellectual property laws.
"Natum," "Natum AI," and our logo are our trademarks. Please don't use them without our written permission. Other trademarks on the Website belong to their respective owners.
We give you a limited, personal, non-transferable, revocable license to access and use the Website for informational purposes. This doesn't include the right to resell, copy, or create derivative works from our content.
Natum's platform uses proprietary scoring engines and analytical models to help financial institutions with lending workflows. Natum does not make lending decisions. Every credit decision is the financial institution's responsibility.
A few things to keep in mind about what you see on this Website:
• Descriptions of our technology and capabilities are provided for general informational purposes and may not reflect the exact features or outputs available at any given time;
• Our tools are designed to support — not replace — the judgment of trained banking professionals;
• Platform outputs like scores, recommendations, and risk assessments are informational, not lending decisions or financial recommendations;
• Subscribing financial institutions are responsible for independently evaluating all information and complying with applicable laws, regulations, and their own internal policies;
• Our platform is designed with applicable model risk management principles in mind, and we strive to align with relevant regulatory guidance; and
• Any performance metrics, statistics, or results on the Website may be based on projections, estimates, or limited pilot data — they aren't guarantees of future results.
Nothing on this Website is financial, investment, legal, tax, or regulatory advice. Our content — including blog posts, case studies, white papers, and marketing materials — is for general informational purposes only and shouldn't be relied on as a substitute for professional advice.
No offer or solicitation. Nothing on this Website is an offer to lend, a loan commitment, a solicitation, or an offer to buy or sell any financial product. Any descriptions of loan products, interest rates, terms, or financial scenarios are for illustrative purposes only and don't represent actual offers or commitments from any financial institution.
Your use of the Website is also governed by our Privacy Policy, which explains how we collect, use, and protect your information.
We take data security seriously and use commercially reasonable safeguards to protect information collected through the Website. That said, no system is perfectly secure, and we can't guarantee absolute security.
When you submit information through the Website (such as requesting a demo or filling out a contact form), you give us permission to use that information to respond to your inquiry and communicate with you about Natum's products and services, subject to our Privacy Policy.
For clarity: these Terms don't govern data processed through the Natum platform on behalf of financial institution customers. That's covered by separate subscription agreements and data processing terms.
If you engage with us through demos, pilot discussions, or sales conversations, you may receive non-public information about Natum's technology, pricing, product roadmap, or business strategy — whether it's marked "confidential" or would reasonably be understood to be confidential ("Confidential Information").
Please don't disclose or use Confidential Information for any purpose other than evaluating our products and services.
This doesn't apply to information that: (a) becomes publicly available through no fault of yours; (b) you already had before we disclosed it, without any confidentiality obligation; (c) you independently develop without using our Confidential Information; or (d) you rightfully receive from a third party without restriction.
The Website may link to third-party websites or services we don't control. We're not responsible for their content, privacy practices, or anything that happens on them. A link doesn't mean we endorse the linked site.
The Website and all its content are provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory. To the fullest extent permitted by law, Natum disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
We don't guarantee that the Website will be uninterrupted, error-free, secure, or free of viruses or other harmful components, or that any defects will be corrected.
Some jurisdictions don't allow the exclusion of certain warranties, so some of the above may not apply to you.
To the fullest extent permitted by law, Natum AI, Inc. and its directors, officers, employees, agents, and affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages — including loss of profits, goodwill, data, or other intangible losses — arising from your use of (or inability to use) the Website, regardless of the legal theory and whether or not we were advised of the possibility of such damages.
Our total aggregate liability for all claims related to these Terms or your use of the Website will not exceed one hundred dollars (USD $100).
These limitations are a fundamental part of our agreement. Some jurisdictions don't allow these limitations, so they may not fully apply to you.
You agree to defend and hold harmless Natum AI, Inc. and its officers, directors, employees, and affiliates from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from: (a) your violation of these Terms; (b) your use of the Website; (c) your violation of any third-party right; or (d) any claim that information you provided through the Website caused damage to a third party.
Before filing any formal dispute, we ask that you contact us at legal@natum.ai and give us 60 days to try to resolve the matter informally.
If we can't resolve a dispute informally, you and Natum agree to resolve it through binding individual arbitration administered by the American Arbitration Association ("AAA") under its applicable rules (available at adr.org). The U.S. Federal Arbitration Act governs this section.
Unless we agree otherwise, arbitration will take place in Santa Clara County, California. For claims under USD $10,000, the arbitration may be conducted entirely on the basis of written submissions unless you request a hearing or the arbitrator determines one is needed.
You and Natum each agree to bring claims against the other only in your individual capacity — not as a plaintiff or class member in any class, consolidated, or representative proceeding. The arbitrator may not consolidate claims or preside over any form of class or representative action.
Either party may seek injunctive or equitable relief in court to protect intellectual property rights. Either party may also bring qualifying claims in small claims court.
If any part of this Section 15 is found unenforceable, the rest remains in effect. If the class action waiver (Section 15.3) is found unenforceable, then this entire Section 15 is void and disputes will be resolved in the courts described in Section 16.
These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles. For any disputes not subject to arbitration (including those described in Section 15.4), you agree to the exclusive jurisdiction of the state and federal courts in Santa Clara County, California.
You may not access or use the Website in violation of U.S. export control and sanctions laws, including regulations maintained by the Department of Commerce (EAR), the Treasury Department's Office of Foreign Assets Control (OFAC), and the Department of State (ITAR). You represent that you are not located in an embargoed country or listed on any U.S. government restricted-party list.
We may update these Terms from time to time. When we do, we'll revise the "Last Updated" date at the top and, for material changes, provide notice on the Website where practicable. Continuing to use the Website after changes are posted means you accept them.
We may suspend or terminate your access to the Website at any time, for any reason. Upon termination, your right to use the Website ends immediately. Sections that by their nature should survive (like intellectual property, disclaimers, limitation of liability, indemnification, and dispute resolution) will continue to apply.
Entire Agreement
These Terms and the Privacy Policy are the entire agreement between you and Natum regarding the Website.
Severability
If any provision is found unenforceable, it will be modified to the minimum extent needed, and the rest of these Terms remain in effect.
Waiver
If we don't enforce a provision, that doesn't mean we waive our right to enforce it later.
Assignment
You can't transfer these Terms without our consent. We can assign them to any affiliate, subsidiary, or successor without restriction.
Force Majeure
We're not liable for delays or failures caused by events outside our reasonable control, including natural disasters, pandemics, wars, cyberattacks, government actions, or infrastructure failures.
No Third-Party Beneficiaries
These Terms don't create rights for anyone other than you and Natum. Nothing here creates an agency, partnership, or employment relationship.
